1. Introduction & Acceptance of Terms

Welcome to WardiereAI, a product and service provided by WARDIERE Technologies ("Company", "we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of the WardiereAI platform, including our custom-built WhatsApp AI agents, workflow automation services, and all related tools, features, and support (collectively, the "Service").

By accessing, subscribing to, or using the Service in any way, you ("Customer", "you", or "your") agree to be bound by these Terms. If you are entering into these Terms on behalf of a business or legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, you must not use the Service.

These Terms are effective as of March 2026.

2. Description of Service

WardiereAI provides businesses with custom-built WhatsApp AI agents designed to automate customer interactions, streamline workflows, and enhance operational efficiency. Our Service includes, but is not limited to:

3. Account & Access

3.1 Customer Responsibilities

You are responsible for maintaining the confidentiality of any credentials, API keys, and login information associated with your account. You agree to notify us immediately if you become aware of any unauthorized access to or use of your account.

3.2 Credentials & Security

You must not share your account credentials with unauthorized third parties. You are solely responsible for all activities that occur under your account, whether or not authorized by you.

3.3 WhatsApp Business API Account

You retain full ownership of your WhatsApp Business API account. WARDIERE Technologies will require access to your WhatsApp Business API account to deploy and maintain your AI agent. You are responsible for ensuring your WhatsApp Business API account remains active, compliant with Meta's policies, and in good standing throughout the duration of your subscription. Any suspension or termination of your WhatsApp Business API account by Meta is your responsibility and does not entitle you to a refund or service credit.

3.4 WhatsApp Business API Costs

All costs associated with the WhatsApp Business API are borne entirely by the customer on actuals. This includes, but is not limited to, Meta's per-conversation fees, message template fees, phone number hosting charges, and any other charges imposed by Meta or your WhatsApp Business Solution Provider (BSP). These costs are separate from and in addition to your WardiereAI subscription fee. WARDIERE Technologies does not cover, subsidise, or include WhatsApp Business API usage costs in any of its plans. You are solely responsible for monitoring and paying all WhatsApp Business API charges directly to Meta or your BSP.

3.5 AI / LLM API Costs

All costs associated with AI and Large Language Model (LLM) API services are borne entirely by the customer on actuals. Your AI agent may utilise third-party LLM services such as Anthropic Claude, OpenAI ChatGPT, xAI Grok, Google Gemini, or other AI model providers, depending on the model selected for your agent's training and customer query handling. All API usage charges — including per-token fees, per-request fees, fine-tuning costs, and any other charges imposed by the LLM provider — are billed directly by the respective provider and must be paid by you. These costs are separate from and in addition to your WardiereAI subscription fee. WARDIERE Technologies does not cover, subsidise, or include LLM API usage costs in any of its plans. You are solely responsible for maintaining an active account with your chosen LLM provider, monitoring your API usage, and paying all associated charges.

4. Subscription & Payments

4.1 Plans & Pricing

WardiereAI offers the following subscription plans:

Pricing is subject to change. Any changes to pricing will be communicated at least 30 days prior to your next billing cycle.

4.2 Billing

Subscriptions are billed on a monthly or annual basis, depending on the billing cycle you select. Payment is due at the beginning of each billing period. Failure to make timely payments may result in suspension or termination of your Service.

4.3 Third-Party API Costs

Your WardiereAI subscription does not include WhatsApp Business API or AI/LLM API usage costs. All WhatsApp Business API charges — including per-conversation fees, message template costs, and phone number hosting fees — are billed directly by Meta or your Business Solution Provider (BSP) and must be paid by you on actuals. Similarly, all AI/LLM API charges — including per-token fees, per-request fees, and fine-tuning costs from providers such as Anthropic (Claude), OpenAI (ChatGPT), xAI (Grok), Google (Gemini), or any other model provider used for your agent — are billed directly by the respective provider and must be paid by you on actuals. WARDIERE Technologies has no involvement in, and accepts no liability for, any of these third-party charges.

4.4 Taxes

All prices are exclusive of applicable taxes unless otherwise stated. You are responsible for paying any taxes, duties, or levies imposed by your jurisdiction.

5. No Refund Policy

ALL PAYMENTS ARE NON-REFUNDABLE

Once a subscription is activated or AI agent development has commenced, no refunds will be issued under any circumstances. This includes, but is not limited to, partial months of service, unused features, downgrade requests, plan cancellations, dissatisfaction with the Service, or any other reason.

No exceptions will be made to this policy. By subscribing to WardiereAI, you acknowledge and accept that all payments made are final and non-refundable.

We strongly encourage all prospective customers to fully evaluate the Service during the consultation and demo phase before making a purchase. Our team is available to answer any questions, provide live demonstrations, and help you understand exactly what you will receive before you commit to a subscription.

If you are unsure whether WardiereAI is the right fit for your business, please request a demo or consultation before subscribing. Once payment is processed and your subscription is activated, the no-refund policy is in full effect.

6. Intellectual Property

6.1 WARDIERE Technologies' Intellectual Property

The WardiereAI platform, including all software, code, workflows, automation templates, AI models, training methodologies, system architectures, user interfaces, documentation, and proprietary processes, are and remain the exclusive intellectual property of WARDIERE Technologies. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for the duration of your active subscription. You may not copy, modify, distribute, reverse-engineer, decompile, or create derivative works based on any part of the platform.

6.2 Customer Data & Content

You retain full ownership of all data, content, business information, customer conversations, and materials you provide to us or that are generated through your use of the Service ("Customer Data"). WARDIERE Technologies will not sell, share, or use your Customer Data for any purpose other than providing and improving the Service, unless required by law or with your explicit consent.

6.3 Data Processing Roles

For the purposes of GDPR and applicable data protection laws: (a) You (the customer) are the Data Controller for all personal data of your end-customers processed through the WardiereAI WhatsApp agent; (b) WARDIERE Technologies is the Data Processor, acting solely on your instructions to process such data for the purpose of delivering the Service. A separate Data Processing Agreement (DPA) is available upon request to formalise these roles and obligations.

6.4 Sub-Processor Disclosure

WARDIERE Technologies engages the following sub-processors to deliver the Service:

We maintain Data Processing Agreements with all sub-processors. We will provide at least 30 days' notice before engaging any new sub-processor, and you may object to the engagement of a new sub-processor on reasonable data protection grounds.

6.5 Right to Audit

You have the right to audit our compliance with data protection obligations. Audit requests should be submitted in writing to [email protected] with at least 30 days' notice. Audits shall be conducted during normal business hours, at your expense, and shall not unreasonably interfere with our business operations. Alternatively, we may provide copies of relevant third-party audit reports or certifications to satisfy audit requests.

6.6 Data Subject Rights Handling

Where you receive requests from your end-customers to exercise their data protection rights (access, rectification, erasure, portability, restriction of processing), we will provide reasonable assistance to help you fulfil such requests within the timeframes required by applicable law.

7. Service Level & Uptime

7.1 Uptime Target

WARDIERE Technologies strives to maintain 99.9% uptime for the WardiereAI platform. While we make every effort to ensure continuous availability, we do not guarantee uninterrupted access. Scheduled maintenance windows will be communicated in advance whenever possible.

7.2 Support Response Times

Support response times vary by subscription plan:

Response times are measured during business hours and represent the time to initial acknowledgment, not resolution. Actual resolution times may vary depending on the complexity of the issue.

7.3 Exclusions

The uptime target does not apply to downtime caused by: (a) factors beyond our reasonable control, including force majeure events; (b) third-party service outages, including Meta/WhatsApp, Google, or hosting providers; (c) your equipment, software, or network connections; or (d) scheduled maintenance performed with reasonable advance notice.

7.4 Security Incident Notification

In the event of a confirmed security incident or personal data breach affecting your data, we will:

7.5 Change Management

We follow documented change management procedures for all modifications to the WardiereAI platform. Changes are tested in isolated environments before deployment to production. Planned maintenance windows are communicated to customers in advance. Emergency changes follow an expedited review process with post-implementation review.

7.6 Monitoring and Logging

We maintain continuous monitoring and logging of all system activities, including access logs, API calls, workflow executions, and security events. Logs are retained for a minimum of 12 months and are available for review in connection with security audits or incident investigations.

The Service is provided on an "as is" and "as available" basis. We disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

10.1 Termination by You

You may cancel your subscription at any time by contacting us at [email protected]. Cancellation will take effect at the end of your current billing period. No refunds will be issued for the remaining portion of the billing period, in accordance with our No Refund Policy.

10.2 Termination by WARDIERE Technologies

We reserve the right to suspend or terminate your access to the Service immediately, without prior notice, if: (a) you breach any provision of these Terms; (b) you fail to make timely payments; (c) your WhatsApp Business API account is suspended or terminated by Meta; or (d) we are required to do so by law.

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of laws principles. Any disputes arising out of or in connection with these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in India.

If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions of these Terms shall continue in full force and effect.

WARDIERE Technologies reserves the right to modify, update, or replace these Terms at any time at our sole discretion. When we make material changes, we will notify you by email or through a prominent notice on our website at least 30 days before the changes take effect.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, you must discontinue use of the Service before the changes take effect.
